1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "your," or "User") and Palantrix LLC, a Delaware limited liability company ("Company," "we," "us," or "our"), concerning your access to and use of the NaaCloset website (naacloset.com) and its styling services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Privacy: Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Eligibility and Age Requirements

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.

If you are accessing the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

3. Accounts and Authentication

To access certain features of the Service, you must create an account. You may register using third-party authentication services such as Google Sign-In.

Account Responsibilities: You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

4. Subscriptions and Payment Terms

4.1 Fees and Billing

We offer paid services, including recurring subscriptions and one-time consultation fees. You agree to pay all fees and charges associated with your account at the prices in effect when the charges are incurred.

Subscription Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.2 Payment Processing

Payments are processed through third-party providers including Stripe, Apple Pay, PayPal, and Google Pay. By making a purchase, you agree to be bound by the terms and privacy policies of these payment processors. We do not store your full credit card information on our servers.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contactnaacloset@gmail.com. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• Your subscription will not renew for subsequent periods
• No partial refunds will be issued for the remaining days in your billing period

4.4 Refunds

General Policy: All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

EU/EEA Consumers: If you are a consumer in the European Union or European Economic Area, you have the right to withdraw from your purchase within 14 days of the transaction date without giving any reason (the "Cooling-Off Period"). However, by using the Service immediately after purchase, you acknowledge that you are requesting immediate access to digital content and expressly consent to waive your right of withdrawal once the Service has been accessed or downloaded.

4.5 Price Changes

We reserve the right to modify our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice of the change. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. User Content and Wardrobe Uploads

The Service allows you to upload photographs of your wardrobe, write notes, and interact with stylists ("User Content").

Your Rights: You retain all ownership rights to your User Content.

License Grant: By uploading User Content, you grant Palantrix LLC and our affiliated stylists a non-exclusive, royalty-free, worldwide license to use, view, copy, modify, and display your User Content solely for the purpose of providing styling services to you. This license terminates when you delete your User Content or account, except for copies retained in our backup systems which will be deleted in accordance with our data retention policies.

Your Representations: You represent and warrant that:

• You own or have the necessary rights to the User Content you upload
• Your User Content does not infringe any third party's intellectual property or privacy rights
• Your User Content does not contain illegal, harmful, or objectionable material

6. Styling Services and Recommendations

Our Service connects you with stylists who provide outfit recommendations, visual collages, and shopping links based on your wardrobe and preferences.

Nature of Recommendations: Styling recommendations are subjective opinions based on the stylist's professional judgment. We do not guarantee that:

• You will be satisfied with every recommendation
• Suggested items will fit, match your expectations, or be available for purchase
• Recommendations are suitable for all occasions or preferences

You acknowledge that fashion is subjective and that you are responsible for your own purchasing decisions.

7. Third-Party Links and Products

Stylists may provide links to third-party websites for purchasing clothing or accessories. We do not control, endorse, or assume responsibility for these third-party sites or products.

Any purchase from a third-party website is solely between you and that vendor. We are not responsible for the quality, delivery, returns, or any disputes arising from such purchases.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Transmit viruses, malware, or other harmful code
• Harvest or collect personal information of other users
• Use the Service in a manner that could damage, disable, or impair the Service
• Reverse engineer, decompile, or disassemble any part of the Service

9. Account Termination

Termination by You: You may terminate your account at any time by:

• Using the account deletion feature in Settings

Upon termination, your right to use the Service will immediately cease. See our Privacy Policy for information on data deletion and retention.

Termination by Us: We may suspend or terminate your account and access to the Service immediately, without prior notice, if:

• You breach these Terms
• We suspect fraudulent, abusive, or illegal activity
• Continued service to you is not commercially viable

10. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Palantrix LLC. This includes all source code, databases, software, website designs, graphics, trademarks, service marks, and logos.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

11. Analytics and Cookies

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Defects in the Service will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such cases, warranties are limited to the shortest period permitted by law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PALANTRIX LLC, ITS DIRECTORS, EMPLOYEES, AGENTS, OR STYLISTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Styling recommendations or decisions made based on such recommendations
• Issues arising from payment processing by third-party providers

Liability Cap: Our total liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such cases, liability is limited to the minimum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Palantrix LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your User Content

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contactnaacloset@gmail.com. We will attempt to resolve the dispute informally within 60 days.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Palantrix LLC agree to resolve any claims through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as modified by this section.

The arbitration will be conducted in the English language, and the arbitrator's decision will be final and binding. The arbitration may be conducted in person, through the submission of documents, by phone, or online.

15.3 Class Action Waiver

YOU AND PALANTRIX LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

If this class action waiver is found to be unenforceable, then the entirety of this arbitration section shall be null and void.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction, and claims within the jurisdiction of small claims court may be filed there.

15.5 EU/EEA Consumers

If you are a consumer in the European Union, you may also be entitled to submit disputes to the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you and Palantrix LLC agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

If you are an EU consumer, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last updated" date at the top of this page
• Sending an email notification for significant changes
• Displaying a notice on the Service

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Palantrix LLC regarding the Service and supersede all prior agreements and understandings.

20. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by Palantrix LLC.
